These Terms of Use govern your access to and use of InvoiceAgent. By using the service, you agree to these Terms.

1. The service

InvoiceAgent is a software service that helps users create, schedule, preview, send, and track invoices, including recurring invoices, PDF invoice delivery, reminder emails, billing access controls, and related account features.

2. Eligibility and account responsibility

You must provide accurate information when creating an account and keep your account credentials secure.

You are responsible for activity that occurs under your account and for any invoice content, recipient data, payment references, or other content that you submit through the service.

3. Trials, subscriptions, and billing

InvoiceAgent currently offers a 7-day trial. After the trial ends, a paid subscription may be required to continue using certain features.

Subscription checkout and billing may be handled through Dodo Payments-hosted payment links and related billing infrastructure.

You authorize applicable charges for your selected plan and agree to provide current and valid billing information where required by the checkout provider.

Unless otherwise required by law, fees are non-refundable once charged except as expressly stated by us or our billing provider.

4. Acceptable use

You agree not to use InvoiceAgent to:

Send unlawful, fraudulent, deceptive, abusive, or infringing content.

Send spam or unwanted email, impersonate another person, or mislead recipients about the origin or purpose of an invoice.

Interfere with, disrupt, probe, reverse engineer, or attempt unauthorized access to the service or its underlying systems, except where such restrictions are prohibited by applicable law.

Upload malicious code or use the service in a way that may harm InvoiceAgent, other users, recipients, or third-party providers.

5. Your content and permissions

You retain rights to the content you submit to the service, including invoice details, email templates, customer information, and payment references.

You grant us a limited right to host, process, transmit, and use that content as necessary to operate the service, including generating PDF invoices, sending emails, processing reminders, and maintaining the invoice queue.

6. Third-party services

InvoiceAgent may rely on third-party services, including Clerk for authentication, Resend for email delivery, Dodo Payments for billing, and optional Wise-related webhook or payment reference processing.

Your use of those providers may also be subject to their own terms and policies.

7. Availability and changes

We may update, modify, suspend, or discontinue parts of the service at any time. We do not guarantee uninterrupted availability or that every invoice, webhook, reminder, or external provider response will always be error-free.

8. No legal, tax, or accounting advice

InvoiceAgent is a software tool. It does not provide legal, tax, accounting, financial, or compliance advice. You are responsible for reviewing your invoices, tax settings, payment terms, and legal obligations.

9. Disclaimers

To the maximum extent permitted by law, the service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory.

We do not warrant that the service will meet every requirement, be uninterrupted, be secure in all circumstances, or prevent every error in third-party systems, email delivery, billing events, or webhook processing.

10. Limitation of liability

To the extent permitted by applicable law, InvoiceAgent and its operators will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity arising from or related to the service.

To the extent permitted by law, our aggregate liability for claims relating to the service will not exceed the amount you paid to use the service during the 12 months before the event giving rise to the claim.

11. Suspension and termination

We may suspend or terminate access to the service if we believe you violated these Terms, created risk for the service or others, failed to pay required fees, or if we are required to do so by law.

You may stop using the service at any time, but some provisions of these Terms will survive termination by their nature.

12. Changes to these Terms

We may revise these Terms from time to time. If we make material changes, we may update the effective date and provide notice where appropriate.
